Terms of Service

Project Development:

Caudata Tech LLC will develop your website using the information, including pictures and text, provided by you or communicated through emails. Images and videos should be properly labeled and of the best quality possible. Videos should only be hosted on YouTube or Vimeo. If Copy writng services are needed this will be an additional fee within our contract.

Payment Terms:

Payment terms are as follows:

50% at the start date of the signed contract.

50% upon completion via credit card.

Initial Design Revisions:

Caudata Tech LLC allows one set of back-and-forth edits to the site based on the information provided through the site build form and prior communications. An edit is defined as a change that requires no redesign of graphics, layout, or additional pages.

External Links:

If there are outside links, such as third-party applications or websites, Caudata Tech LLC holds no responsibility if they do not work well in conjunction with the website.

CMS Site Builds:

All CMS site builds will commence design after a 50% deposit of the contracted price has been paid. The site will go live or be transferred to another account once the remaining 50% of the contract price has been paid.

Caudata Tech LLC will provide access to the website after it has been made live. Any changes made by the client resulting in site damage or malfunction will be repaired at an additional cost.

Payment Failure:

Failure of direct debit payments will result in the client having 7 days to rectify the payment situation, with notification. If the situation is not rectified within 7 days, the site and/or services will be suspended. If not rectified within an additional 7 days, the site and/or service will be terminated.

Terms and Conditions:

All terms and conditions are subject to change without prior notice.

Warranties & Liabilities:

Caudata Tech LLC does not guarantee that the website's functions will meet the client’s expectations of site traffic or resulting business. Caudata Tech LLC and its subcontractors will not be liable for any damages, including but not limited to loss of sales, profits, revenue, or any incidental, consequential, or special damages arising out of the operation or inability to operate the web pages or website.

Trademarks & Copyrights:

The client guarantees that all elements furnished to Caudata Tech LLC for inclusion in web pages are owned by the client or that the client has permission from the rightful owner to use each element. The client shall indemnify, defend, and hold harmless Caudata Tech LLC from any claim arising from the use of such elements furnished by the client.

Indemnity:

The client shall indemnify, defend, and hold harmless Caudata Tech LLC against all third-party claims related to the website or content infringing any patent, copyright, or other intellectual property rights.

Copyright to Web Page:

Upon final payment, the client owns the copyright to the finished assembled work of web pages. However, rights to photos, graphics, source code, work-up files, and computer programs are not transferred to the client and remain the property of their respective owners.

Our website builder, powered by Caudata Tech LLC, is a unique multi-screen platform that simplifies website creation, maintenance, lead capture, and sales generation for your business. Whether you've developed your website or had it created by the Caudata Tech LLC team, our platform is subject to the following terms of use:

Content Guidelines:

Your website's content cannot promote fraudulent, obscene, pornographic, spammy, deceptive, defamatory, inappropriate, or illegal activities.

The platform cannot be used solely for file-sharing copyrighted or uncopyrighted material.

Platform Access:

As a cloud-based website builder, there is no FTP access for your website. All modifications must be made through the builder.

Responsibility Disclaimer:

Caudata Tech LLC is not responsible for the accuracy, usefulness, safety, or intellectual property rights of any content on your website.

No guarantees are made regarding online traffic, Google rankings, or increased business revenue resulting from having a website with us.

Subscription and Payment Terms:

Your subscription payment must remain current. Failure to update your subscription after the third notice will result in website deactivation.

Cancellation Policy:

If you choose to no longer use Caudata Tech LLC as your hosting provider and wish to keep your current website, we will move it to your account through our provider, Duda.

If you are on a different platform, such as Wix, Weebly, WordPress, Shopify, Squarespace, or any other, cancellation will deactivate your website, and it cannot be transferred or copied to another hosting provider.

These terms are designed to ensure a smooth hosting experience on the Caudata Tech LLC platform. If you have any questions or require further assistance, feel free to reach out to our support team.

Refunds:

All payments made to Caudata Tech LLC are non-refundable.

Services Not Included:

The client is responsible for licensing fees or associated third-party costs. Any services not explicitly addressed are considered Out of Scope and will require a Request for Change, agreeing to pay Caudata Tech LLC an additional $115 per hour for such services.
